The RCManila Foundation, Inc. elected 15 new trustees on January 18, 2023 and considered an amendment to its by-laws providing a staggered two-year term of office.

On January 18, 2023, from 10:30 am to 3:00 pm, the Board of Trustees of RCManila Foundation, Inc. (RCMFI) elected 15 new trustees. Out of the 74 RCMFI members, a total of 43 votes —or 58.11%—were obtained through the use of Election runners.

Amendment to the RCMFI By-laws

Rationale/Objective

To achieve continuity of projects and long-term growth of the Foundation by providing a two-year term of office for members of the Board of Trustees, who shall be elected to a term on a staggered basis.

Existing Provision

Article IV, Section 3 Term of Office - Elected trustees shall hold office for one (1) year or until their successors are duly elected and qualified. Trustees may be reelected after the conclusion of any term of service as trustees. Provided, that they then satisfy the qualification for serving as trustees set forth in Section 5 of the Article. Barring death, resignation, removal, or failure of qualification, each trustees shall hold office for the term for which the trustee is elected or until the election and qualification of a successor

Proposed Amendment

Article IV, Section 3 Staggered Term of Office. Elected Trustees shall hold office for two (2) years or until their successors are duly elected and qualified. Trustees may be re-elected after the conclusion of any term of service as Trustees, Provided, That they then satisfy the qualification for serving as Trustees set forth in Section 5 of this Article. Of those first elected, the eight (8) trustees who garnered the highest votes shall hold office for two (2) years, and the remaining seven (7) trustees shall hold office for one (1) year. Trustees elected thereafter to fill vacancies caused by expiration of term shall hold office for two (2) years. However, trustees elected thereafter to fill vacancies occurring before the expiration of a particular term, shall hold office only for the unexpired period. Barring death, resignation, removal or failure of qualification, each Trustee shall hold office for the term for which the Trustee is elected or until the election and qualification of a successor.
